TERMS AND CONDITIONS OF USE

These are the official Terms and Conditions of Use for S+L Brand Studio located at Orange County, CA herein known and referenced as “Company,” “Our,” “We,” and “Us.”

Our email is [email protected] “You” and “Your” refers to users of this Company’s website, communications, products, services  and related materials, herein known as “Offering.”

NOTICE: These Terms and Conditions of Use are legally binding. It is Your responsibility to read these Terms and Conditions of Use carefully prior to purchase, use, or access of any of Our products, including online courses.

Design Services Agreement

S+L Brand Studio

Saul & Lynnae Williams

This Agreement (“Agreement”) is entered into by and between S+L Brand Studio (“Provider”) and the undersigned client (“Client”) as of the Effective Date.

1. Client to whom is purchasing Design Services from S+L Brand Studio

2. Terms

All copy and branding assets must be provided prior to starting the project.

All agreed upon payment is due prior to starting project. 

3. Services

Provider agrees to provide branding and/or website design services as outlined in the selected service package and/or accompanying proposal.

Included Services:

• Branding and/or website design as detailed in the package description.
• Implementation and customization of the Client’s provided content, branding elements, and imagery for Website Design.
• All copy and branding assets must be provided prior to starting the project.
• If using our templates, these do come with imagery that can stay in the website if it aligns with the clients branding. 
• Basic links for checkout integration (provided by client)
• Email embed links
   

Exclusions (Not Included Unless Purchased Separately):

• Custom imagery, photography, or video production.
  Copywriting services (the Client is responsible for all written content unless purchased separately).
• Third-party plugins, premium assets, fonts, or stock imagery.
• S+L Brand Studio does not source imagery for the clients brand (unless this is added as a package) but will occasionally use pre-selected imagery from our own library. 
   

4. Payment Terms for projects over $1,000k

• A 50% deposit is required to secure the project start date.
• This deposit is non-refundable and applied toward the total project fee.
• The remaining 50% balance is due prior to delivery of design files or website launch.
• Payment plans are available upon request
   

Late Payments
Any overdue balances beyond 10 days will incur a late fee of 5% per month until paid in full.

All payments are non-refundable except as expressly stated in this Agreement. The Client agrees not to initiate chargebacks or payment disputes. Any such attempts will be treated as a breach of this Agreement.

5. Revisions & Additional Work

• The project includes 3 rounds of revisions. Revision does not include re-doing a full page as this will come at an extra cost. Any additional major revisions beyond this will be billed separately at $175 an hour.
• Any requests outside the originally agreed scope, including but not limited to additional pages not originally included in the package features, custom imagery, video editing, or design modifications, will be considered additional work and billed accordingly. 
   

6. Timeline & Client Responsibilities

• Provider will supply an estimated project timeline upon commencement.
• Delays caused by the Client (late responses, missing content, or approvals) will extend the timeline but not alter payment due dates.
• Client must provide all necessary content, images, and approvals in a timely manner within 3 business days in order to keep project on timeline
• If the Client fails to provide required assets or communication for more than 14 days, the project will be considered paused. A restart fee of $300 will apply to resume work, and timelines will be adjusted. Payments remain due on the original schedule.
   

7. Cancellation & Rescheduling

7.1 Cancellation by Client

• Deposits and full payments are always non-refundable.
• If the Client cancels after work has begun, payments covering up to 50% of the total project fee are non-refundable.
• Any payments beyond the 50% non-refundable portion will be reviewed on a case-by-case basis, at the discretion of S+L Brand Studio.
   

7.2 Rescheduling by Client

• Rescheduling may be permitted but will result in a new project timeline.
• Deposits remain non-refundable and will be applied to the rescheduled project.
• A rescheduling fee of $300 will be applied to secure the new timeline.
   

7.3 Termination by Provider

• S+L Brand Studio reserves the right to terminate this Agreement at any time due to unforeseen circumstances, illness, emergency, or other situations beyond reasonable control that prevent the Provider from completing the project.
• In the event of such termination, the Client will be refunded any payments made beyond the non-refundable portion of the project fee (as outlined in Section 4).
• Provider will also make reasonable efforts to refer the Client to another qualified professional, but is not obligated to provide replacement services.

8. Ownership & Usage Rights

• Upon full payment, Client receives a non-exclusive, non-transferable license to use the final design assets for their business.
• Branding & Design Assets: Upon full payment, the Client will receive a non-exclusive, non-transferable license to use the final design assets for their business.
• Website Design: The Designer retains the right to use completed website designs for portfolio and promotional purposes unless there is an agreement between client and S+L Brand Studio that it cannot be shared. Upon full payment or agreed upon payment plan, the Client will receive a non-exclusive, non-transferable license to use the website for their business purposes. Website design cannot be shared or transferred to a third party. 
   

9. Deliverables & Launch

• Provider will deliver final design files and/or launch the Client’s website on Showit.
• Post-launch support is limited to a walkthrough and training and minor updates throughout the launch as stated in the the proposal.
• Ongoing updates or maintenance are not included unless agreed upon in writing or if the client purchase a retainer package.
• Deliverables do not include ongoing maintenance, technical support beyond launch, or future edits unless purchased separately.
   

10. Liability & Indemnification

• Provider is not responsible for business losses, website downtime, or damages resulting from the use of delivered designs.
• Client agrees to indemnify and hold harmless Provider from any claims arising from the use of the work.
• Provider makes no warranties regarding specific business outcomes such as increased sales, website traffic, or search engine rankings. Provider agrees to deliver design work consistent with industry standards, but results depend on factors outside Provider’s control.
   

11. Confidentiality

Both Parties agree to maintain strict confidentiality regarding any proprietary or sensitive information shared during the project, including but not limited to business strategies, financial data, login credentials, and client materials. Such information shall not be disclosed to any third party without prior written consent from the other Party, except as required by law.

At present, only Saul and Lynnae Williams (S+L Brand Studio owners) have access to Client information and project materials. Our Junior Designer supports the studio by creating general design templates and internal assets only and does not have access to any Client information.

Should there be a need to involve the Junior Designer or any additional team members directly in a Client’s project, the Client will be notified in advance, and those team members will be bound by the same confidentiality obligations outlined in this Agreement.

All employees, contractors, or collaborators working under S+L Brand Studio agree to uphold the terms of this Confidentiality clause.

12. Force Majeure

Neither party shall be held liable for failure or delay in performance due to circumstances beyond reasonable control, including natural disasters, illness, internet outages, or third-party platform issues.

13. Governing Law

This Agreement shall be governed by the laws of California, United States. Any disputes shall first be resolved through mediation in Orange County, California. If mediation is unsuccessful, disputes will be resolved in the courts of Orange County, California.

14. Entire Agreement

This Agreement constitutes the entire understanding between Provider and Client, superseding all prior agreements. Amendments must be made in writing and signed by both parties.

By signing and agreeing to this Agreement, or by checking the acknowledgment box during checkout and completing payment, the Client agrees to be bound by the terms of this Agreement.

All rights not expressly granted in these Terms and Conditions of Use and Privacy Policy or any express written here, are reserved by Company.

SEVERABILITY

If any part of these Terms and Conditions of Use and Privacy Policy is deemed unlawful and/or unenforceable, all other provisions contained herein will remain in full force and effect.
